Notice of Extraordinary General Meeting
NetDimensions (AIM: NETD; OTCQX: NETDY), the global provider of performance, knowledge and learning management systems, announces that an Extraordinary General Meeting ("the EGM") of the Company will be held at 17/F., Siu On Centre, 188 Lockhart Road, Wan Chai, Hong Kong on Thursday 10th January 2013 at 2:00pm to consider the following special resolution:
That the Directors be generally and unconditionally authorised (in substitution for all such subsisting authorities to the extent unused other than in respect of any allotments made, or to be made, pursuant to offers or arrangements made prior to the passing of this resolution which are hereby approved, confirmed and ratified) to allot ordinary shares in the capital of the Company on a non-pre-emptive basis, up to an aggregate nominal amount of US$ 12,500 (comprising 12,500,000 ordinary shares), provided that this authority shall, unless renewed, varied or revoked by the Company, expire on the date falling 12 months after the date that this resolution is passed or, if earlier, the date of the next annual general meeting of the Company, save that the Company may, before such expiry, make offers or agreements which would or might require ordinary shares in the capital of the Company to be allotted and the Directors may allot such ordinary shares in pursuance of such offer or agreement notwithstanding that the authority conferred by this resolution has expired.
Following the passing of this resolution the Company will have authority to allot ordinary shares in the capital of the Company on a non-pre-emptive basis, up to an aggregate nominal amount of US$ 12,500 (comprising 12,500,000 ordinary shares).
