Results of AGM and Dividend Declaration
30 June 2016
PJSC NCSP (LSE: NSCP; MICEX: NMTP) hereby reports the resolutions of the annual general meeting of shareholders, dated 24 June 2016, according to the minutes of the meeting dated 29 June 2016.
1 Approve the annual report (unconsolidated).
2.Approve of the annual financial accounts (unconsolidated).
3.Not to distribute profits for 2015 due to the absence thereof, approve the loss of 5 198 617 000 rubles.
4.Not to declare and not to pay the divided for 2015.
5.Pay annual remuneration of 40 000 rubles to the members of the Board, except public employees.
6.Pay annual remuneration of 12 000 rubles to Audit commission members, except public employees.
7.To approve Deloitte & Touche CIS as the Auditor for 2016.
8.To elect the following members of the Board of Directors (supervisory board):
8.1. Sergey Andronov, Vice President of Transneft;
8.2. Mikhail Barkov, Vice President of Transneft;
8.3. Maksim Grishanin, First Vice President of Transneft;
8.4. Vladimir Kayashev, President of Summa Group;
8.5. Alexander Potapushin, Member of the Board at Novorossiysk Grain Plant;
8.6. Vitaly Sergeychuk, Deputy Division Director at the State Agency for Property Management.
9. To elect the following members of the Audit commission:
9.1. Ekaterina Vlasova;
9.2. Tatiana Nesmeyanova;
9.3. Margarita Russkikh;
9.4. Irina Timofeeva.
10.To approve amendments to the Charter of PJSC NCSP.
11.To approve amendments to the Regulations on the Board of Directors.
12.To approve amendments to the Regulations on the General Meetings.
13.To approve amendments to the Regulations on Executive Board.
14.To approve amendments to the Regulations on General Director.
15.To approve interim dividend for Q1 2016.
15.1. Pay dividend for Q1 2016 in the amount of 1,000,000,431.28 rubles in cash.
15.2. Determine the dividend per share as 0.0519216 rubles;
15.3. Establish the record date for shareholders to receive the dividend for Q1 2016 as 05 July 2016.
15.4. Pay dividend for Q1 2016 to nominal holders from 18 to 19 July 2016, and to other registered shareholders from 25 July 2016 to 05 August 2016.
