Further to the Company's announcement on 21 November 2014 of the resignation of Mr. Wilbur L. Ross, Jr. as a non-executive director and Chairman of the Company, NBNK's board has resolved that Mr. Stephen Johnson be appointed as a non-executive director of the Company. Mr. Johnson, who will also become Chairman of the Company, is a private equity specialist within the WL Ross & Co Group and has worked with Mr. Ross on NBNK matters since certain funds managed by the WL Ross & Co Group acquired a significant holding in the Company in January 2013.

As at 1 December 2014 (being the date of this announcement), Mr. Johnson does not own (and never has owned) any ordinary shares in the Company. Funds within the WL Ross & Co Group (to which Mr Johnson is a related party) own 29.9% of the Company's issued ordinary shares. Mr. Johnson will be paid a nominal fee of £1 by the Company for his role as a non-executive director and Chairman. There are no other disclosures required to be under the AIM Rules For Companies.
