Marchpole Holdings PLC01 February 2005 Marchpole Holdings plc (the "Company") Director's Shareholding The Company announces that on 31 January 2005 it was notified that JustinHampshire, Finance Director, acquired 1,000,000 ordinary shares of 1 pence eachin the Company ("Ordinary Shares") by exercising options granted to him underthe Company's Employee Share Option Scheme at an exercise price of 4.75 penceper share. Justin Hampshire has subsequently sold 1,000,000 Ordinary Shares at 28 pence pershare and remains interested in a total of 500,000 Ordinary Shares representingapproximately 0.37 per cent of the issued share capital of the Company, and afurther 500,000 share options which vest and become exercisable in November2005. In relation to exercises of options issued under the Company's Employee ShareOption Scheme, including Justin Hampshire's exercise, application has been madefor a total of 1,046,666 Ordinary Shares to be admitted to the Official List andto trading on the London Stock Exchange's market for listed securities.Admission is expected to become effective at 8.00 a.m. on 7 February 2005.
