Millennium & Copthorne Hotels plc (the "Company")

Long Term Incentive Awards

On 4 April 2014, the following Executive Director and other persons discharging managerial responsibility ("PDMRs") of the Company, were granted awards entitling them to receive ordinary shares of 30 pence in the Company under the Millennium & Copthorne Hotels Long Term Incentive Plan:

The awards will normally vest on the third anniversary of the grant date, subject to continued employment and achievement of performance conditions based on achievement of earnings per share growth for 50% of the awards, relative Total Shareholder Return performance for 30% of the awards and Net Asset Value (plus dividends) for the remaining 20% of the awards.

No consideration was paid for the grant of the awards and no payment is due on the vesting and exercise of these awards.
