Millennium & Copthorne Hotels plc
Long Term Incentive Award
On 21 November 2013 the following person discharging managerial responsibility ("PDMR") of the Company, was granted a Performance Share Award (the "Award") entitling him to receive ordinary shares of 30 pence in the Company under the Millennium & Copthorne Hotels Long Term Incentive Plan:

The Award will normally vest on the third anniversary of the grant date, subject to continued employment and achievement of performance conditions based on achievement of earnings per share growth for 50% of the share award and relative Total Shareholder Return performance for the remaining 50% of the awards.
No consideration was paid for the grant of the Award and no payment is due on the vesting and exercise of this Award.
