Issue of Equity

The Company announces that on 4 April 2013 it allotted and issued 1,706,119 newOrdinary Shares of 1p each at a price of 121.3 pence per share.

Application will be made for the new Ordinary Shares to be admitted to theOfficial List of the UK Listing Authority and dealings are expected to commenceon 9 April 2013.

Following this allotment the issued share capital of the Company is 33,893,270Ordinary Shares.

These new shares in the Company have been issued subsequent to the linked offerfor subscription with Mobeus Income & Growth VCT plc and The Income & GrowthVCT plc launched on 29 November 2012 ("the Offer"). Pursuant to the terms ofthe Offer, each of the three participating companies are offering a maximum of10 million shares and based on the latest published net asset values per shareof each Company, the maximum aggregate funds expected to be raised is £27million (£9 million per Company).

A total of £22.5 million has been raised to date under the Offer of which £7.5million has been raised for Mobeus Income & Growth 4 VCT plc.

Subject to the discretion of the Directors of the three companies actingjointly or the Offer being fully subscribed at an earlier date, the Offer willremain open until 12.00 noon on 5 April 2013 for the 2012/13 tax year and until12.00 noon on 30 April 2013 for the 2013/14 tax year.
