Long Term Incentive Plan Awards
Notification of Transactions by Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs")
Following the appointment of Simon Fuller as Deputy Chief Financial Officer on 7 October 2015, the Company announces that it was notified of the grant of the LTIP Award on 8 October 2015 to a PDMR in accordance with the rules of the McColl's Retail Group Long Term Incentive Plan (the "LTIP").

The award is to be satisfied by newly issued shares. The performance measurement period is from 1 December 2014 to 30 November 2017 and the award will vest subject to the rules of the LTIP and the Remuneration Committee's determination of the extent to which the performance conditions applicable to the award have been satisfied. Full details of these performance conditions are set out in the Company's Directors' Remuneration Report for the year ending 30 November 2014. Vested LTIP awards are exercisable until the tenth anniversary of the grant date, subject to the individual's ongoing employment.
This notification has been issued pursuant to the Company's notification obligations under Disclosure and Transparency Rule 3.1.4.
