Voting Rights and Capital

We would like to notify the market of the following change to the capital of the Company as at 31 May 2016:

The Company's capital consists of 179,645,961 ordinary shares with voting rights. The Company holds 1,919,219 ordinary shares in Treasury.

Therefore, the total number of voting rights in the Company is 177,726,742.

The above figure (177,726,742) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Kingspan Group plc under the Disclosure and Transparency Rules.
