Voting rights and share capital

London, 24 January 2011. Imperial Innovations (AIM: IVO, "Imperial Innovations") announces that the Company's total issued voting share capital is 99,651,035 voting shares comprised as follows:-

- Following the issue today of 2,870,328 New Ordinary Shares of 3 1/33 pence each pursuant to the 2 for 3 Rights Issue, 62,660,949 Ordinary Shares of 3 1/33 pence each which have been admitted to trading on AIM ; and

- 36,990,086 New Convertible B Shares issued pursuant to the Warrant Issue which have not been admitted to trading on AIM.

Definitions used in the prospectus dated 8 December 2010 shall have the same meanings when used in this announcement, unless the context requires otherwise.
