Notification of Transactions of Directors/
Persons Discharging Managerial Responsibility and Connected Persons
Interserve Plc (the "Company") gives notice that it was notified on 19 April 2016 that, on the 19 April 2016, Douglas Sutherland, a director of the Company, exercised and subsequently sold 38,167 ordinary shares of 10 pence each in the capital of the Company, pursuant to the Interserve Plc Performance Share Plan 2006 (PSP). These shares were sold on the London Stock Exchange at the price of 408.00 pence per share.
These shares represent 44.5% of the shares comprised in the PSP award granted on 9 April 2013, which vested pursuant to certain performance conditions attached to the award.
Following the above transaction, Mr Sutherland's holding in the Company remain unchanged at 148,915 shares (0.10% of issued share capital).
This announcement is made in accordance with the requirements of DTR 3.1.4R.
