Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons
Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the "Company") announces that, on 15 April 2008, the Company granted an Award under the Interserve Performance Share Plan 2006 (in the form of a Conditional Award), to each of the following Executive Directors/Persons Discharging Managerial Responsibilities ("PDMRs"), to acquire ordinary shares of 10p each in the Company ("Shares"), up to the maximum numbers shown below:-

The Awards will normally vest on or after the third anniversary of the date of grant subject to the fulfilment of certain performance conditions based on earnings per share and total shareholder return. No consideration is payable on the grant or the vesting of the Awards.
