Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons

Interserve Plc (the "Company") was notified on 9 July 2012 that the Trustees of the Interserve Share Incentive Plan 2009 purchased the following Ordinary Shares of 10 pence each in the capital of the Company at a price of 318.30 pence per share on behalf of the Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") listed below:
