Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons

Interserve Plc (the "Company") was notified on 27 October 2010 by the Trustees of the Interserve Share Incentive Plan 2009 that the cash dividends paid on 25 October 2010 had been reinvested and used to purchase 14,635 Dividend Shares on 27 October 2010 at a price of 201.00 pence per share. The interests of the Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") in this transaction are listed below:
