Notification of Transactions of Directors/
Persons Discharging Managerial Responsibility and Connected Persons
Interserve Plc (the "Company") gives notice that it was notified on 13 April 2016 of the following transactions involving the transfer of ordinary shares of 10 pence each in the capital of the Company for nil consideration to, and subsequent sale by, each of the following Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") pursuant to the Interserve Plc Performance Share Plan 2006 (PSP):-

1) 44.5% of the shares comprised in the awards granted on 9 April 2013 have vested.
2) The figures in column B are the number of vested shares that were sold on 12 April 2016, inter alia, to satisfy tax liabilities arising on the exercise of the awards. In addition, Steve Dance and Bruce Melizan each sold a further 22,717 shares. These share sales were made on the London Stock Exchange at an average price of 413.146 pence per share.
3) The figures in column C are the number of shares transferred to each Executive Director and PDMR, after the sale of shares set out in column B.
4) The figures in column D represent the interest in shares of each Executive Director and PDMR as a result of the above transactions.
This announcement is made in accordance with the requirements of DTR 3.1.4R.
