INDIVIOR PLC (THE 'COMPANY')
NOTIFICATION AND PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ('PDMR') AND PERSONS CLOSELY ASSOCIATED WITH THEM
The Company announces that on August 3, 2022, it granted a Conditional Award ('Award') over 348,189 Ordinary Shares of US$0.10 each in the Company ('Shares') under the Indivior Long-Term Incentive Plan ('LTIP') to Nina DeLorenzo, Chief Global Impact Officer, a PDMR of the Company.
The vesting of the Award is subject to the Rules of the LTIP and upon continued employment and the achievement of performance conditions. The performance conditions applicable to the Award is based on (1) relative Total Shareholder Return ('TSR') versus the FTSE 250 excluding investment trusts and (2) relative TSR versus the S&P1500 Pharmaceutical and Biotech Index (50% weighting for each measure).
The number of Shares under Award that will vest will depend upon the extent to which the performance conditions have been achieved. The Award is scheduled to vest on March 1, 2025.
This notification is made in accordance with the requirements of the UK Market Abuse Regulation.
