Directors' Transaction in Shares

Imagination Technologies Group plc announces that conditional awards of 10p each in the Company which were made in 2006 under the Employee Share Plan (ESP) have vested. Details of the awards are given below:

Hossein Yassie, Chief Executive Officer

Mr Yassaie's total number of conditional shares that vested under the ESP is 119,327. He sold 94,327 shares at a price of £1.55 on 7 September and retained 25,000 shares. The number of shares sold to cover tax liabilities associated with this award is 58,088.

His total shareholding following this transaction increases to 475,767 ordinary shares.

Trevor Selby, Chief Financial Officer

Mr Selby's total number of conditional shares that vested under the ESP is 64,253. He sold 49,253 shares at a price of £1.55 on 7 September and retained 15,000 shares. The number of shares sold to cover tax liabilities associated with this award is 31,278.

His total shareholding following this transaction increases to 121,767 ordinary shares.
