PDMR Dealings - Grant of Share Options and Issue of Warrants
Immedia (AIM: IME), a supplier of multi-media content and digital solutions for leading brands and global businesses, announces a grant of share options and issue of warrants as detailed below.
Grant of Share Options
The Company has granted new share options over a total of 140,000 ordinary shares of 10 pence in the Immedia EMI Share Option Scheme ("the Scheme") to Ross Penney and John Trevorrow, the Company's Chief Executive Officer and Finance Director respectively.
The options have an exercise price of £0.3599 pence per share (being the 30 day moving average share price immediately prior to the award on 19 February 2021.) The options vest immediately and are exercisable in whole or in part at any time in the next three years.
Issue of Warrants
The Company has issued warrants ("the Warrants") to subscribe for a total of 500,000 ordinary shares of 10 pence, to Tim Hipperson, Mark Horrocks and Simon Leathers, the Chairman and Non-Executive Directors of the Company.
The Warrants have an exercise price of 25 pence per share, being set equal to the recent issue price for new ordinary shares issued in the recent placing and subscription (announced on 8 January 2021). The Warrants vest immediately and are exercisable in whole or in part at any time in the next three years.
The issue of the Warrants constitutes a related party transaction under Rule 13 of the AIM Rules for Companies. The independent Directors for the issue of the Warrants, being Ross Penney and John Trevorrow, consider, having consulted with SPARK Advisory Partners Limited the Company's Nominated Adviser, that the terms of the issue of the Warrants to the Tim Hipperson, Mark Horrocks and Simon Leathers are fair and reasonable insofar as its shareholders are concerned.
