ICAP plc ("the Company")

Treasury shares

On 4 December 2015, the Company transferred a total of 18,464 shares as follows:

· 15,763 ordinary shares at £2.74 per share to participants in its 2012 Sharesave Scheme;

· 2,205 ordinary shares at £2.72 per share to a participant in its 2013 Sharesave Scheme;

· 496 ordinary shares at £3.02 per share to a participant in its 2014 Sharesave Scheme.

These shares were previously held as treasury shares.

Following the above transactions, the Company holds 13,096,003 ordinary shares in treasury, and has 651,441,003 ordinary shares in issue (excluding treasury shares).
