Michael Spencer - person discharging managerial responsibility shareholding
The Company has been notified by Michael Spencer, the Group Chief Executive Officer, that INCAP Finance B.V., a connected party to Michael Spencer, has acquired 500,000 ordinary shares in the Company on 13 November 2013. The shares were acquired at a purchase price of £3.9475 per share.
Following this transaction, Michael Spencer, together with INCAP Finance B.V. and INCAP Overseas B.V., holds 109,375,485 ordinary shares in ICAP plc. This represents 16.89% of voting rights.
Michael Spencer, together with trusts for the benefit of his children of which is he one of joint trustees, owns a majority shareholding in IPGL Limited, of which INCAP Finance B.V. is a wholly-owned subsidiary. Accordingly, Michael Spencer is deemed to be interested in all the shares in ICAP plc held by INCAP Finance B.V. and its wholly-owned subsidiary, INCAP Overseas B.V., totalling 105,569,560 shares. A trust of which Michael Spencer's children are beneficiaries and he is a joint trustee owns a further 50,000 shares and 3,516,558 shares are held by Sanne Trust Company Limited as trustee of the ICAP Employee Share Trust. The shares held in this trust include basic awards to Michael Spencer under the ICAP Bonus Share Matching Plan and matching awards in respect of which there are no unsatisfied performance or continuity of employment conditions. Michael Spencer has an interest in a further 3,284 share options under the ICAP Sharesave scheme and he has a direct interest in 236,083 shares.
