ICAP plc (the "Company")

Grant of share awards under the ICAP plc 2015 Performance Share Plan (PSP).

On 11 November 2015 the following persons discharging managerial responsibilities (PDMRs) were awarded the following conditional share awards under the PSP:

Executive Director PSP AWARD

 Michael Spencer 173,262

These awards will normally vest on 28 May 2018 subject to the participant continuing to hold an office or employment within the ICAP group and the achievement of the following performance conditions measured over the three year period:

1. half the 2015 PSP award will be subject to a Total Shareholder Return performance condition; and

2. the remaining 50% of the 2015 award will be subject to a point-to-point EPS performance condition.

It is intended that these PSP awards, being 486,288 ordinary 10p shares, will be satisfied from Treasury shares.

Stuart Bridges

As previously announced, Stuart Bridges' commenced employment on 1 September 2015 and has forfeited certain deferred awards from his previous employer. In order partially to compensate him for this, on 11 November 2015, he was awarded two share awards, each of 98,750 ICAP plc shares, under the ICAP PSP. The first award will vest on 1 September 2016 and the second on 1 September 2017 with both awards being subject only to continued service, malus and clawback.

In addition, Stuart Bridges, as a PDMR, was awarded the following conditional share award under the PSP:

 Stuart Bridges 197,500

The vesting, detailed performance conditions and satisfaction of this award are all as detailed above.
