Person discharging managerial responsibility shareholding

On 27 November 2013, the Company was notified that John Nixon made a gift of 9,500 ordinary shares in ICAP plc to Communities in Schools and 7,200 ordinary shares in ICAP plc to Queens University, Ontario, both 501(c)(3) non-profit organisations, at market price. These shares represent 0.0026%% of the total voting rights of the Company.

Following these transactions, John Nixon has an interest in 209,386 ordinary shares in the Company representing 0.032% of the Company's total voting rights.
