Persons discharging managerial responsibility (PDMR) shareholding
1. On 31 March 2011, Michael Spencer exercised 1,083,970 options under the ICAP plc Bonus Share Matching Plan. These options comprise the basic and matching awards granted to Michael Spencer in 2007 at a total exercise price of £2.00.
In order to meet the tax liability which is incurred immediately on the exercise of those options, Michael Spencer sold on 31 March 2011 a total of 552,825 shares at a price of £5.37 per share.
Following these transactions, Michael Spencer had a personal interest in 3,232,920 ordinary shares in the Company and through IPGL Limited he had a further interest in 105,069,560 ordinary shares. Together these represent 16.40% of the Company's share capital.
2. On 31 March 2011, Mark Yallop exercised 601,301 options under the ICAP plc Bonus Share Matching Plan. These options comprise the 2008 matching and 2010 basic awards granted to Mark Yallop at a total exercise price of £2.00.
In order to meet the tax liability which is incurred immediately on the exercise of those options, Mark Yallop sold on 31 March 2011 a total of 306,664 shares at a price of £5.37 per share.
Following these transactions, Mark Yallop had a personal interest in 1,052,998 ordinary shares in the Company representing 0.159% of the Company's share capital.
