Grant of Options
On 1 June 2012 three Executive Directors were granted options in accordance with the rules of the Harvey Nash 2005 Executive Share Option Scheme (the 'Scheme'). Conditional awards were granted over ordinary shares of 5p each, at a price of £0.515 (the closing mid market price on 1 June 2012), as follows:

Performance Criteria
Options are normally exercisable to the extent that the Company's compounded annual growth in Earnings Per Share (EPS) exceeds the compounded annual growth in the Retail Prices Index (RPI) by a minimum of 3% per annum over the performance period, which is three years from the date of grant.
