Notification of Transactions by Directors/Persons Discharging Managerial Responsibility ("PDMRs")
Conditional awards over ordinary shares of £0.02 pence in Hastings Group Holdings plc (the "Company"), granted to the following PDMRs under the Hastings 2015 Bonus Deferral Plan (the "Awards") on 6 April 2017, vested on 16 March 2020. No consideration was paid for the grant of the awards, which were in relation to the deferred element of 2016 annual bonus entitlements.
These vested Awards, including accrued dividend equivalent entitlements, were released to recipients on 1 May 2020; details of the number of vested Shares, net of relevant tax and social security charges, released to each PDMR are shown below:

The release to Gary Hoffman was in relation to an Award granted to him whilst he was CEO, which was preserved at the time of his appointment as Chair in May 2018. The Award was included in the statement of unvested conditional share awards disclosed in the Company's Remuneration Report within the Annual Report and Accounts for the year ended 31 December 2019 (page 110).
This notification is made in accordance with Article 19 of the EU Market Abuse Regulation 596/2014.
