Directors' interest in shares
Further to the Company's announcement on 27 May 2016 which notified that following the publication of the Company's results for the year ended 31 March 2016 certain awards had vested under the Company's Performance Share Plan ("PSP"), the Company hereby notifies that on 31 May 2016, the following directors have each now also exercised the PSP awards set out in column 1 of the following table. The Company further notifies that on 1 June 2016, David Radcliffe, Michele Maher, Kevin Ruffles and William Brindle respectively sold the shares set out in Column 2 of the following table arising from the exercise of these awards, at an average price of 70.7904p.

Notification of each of the above transactions is made in accordance with Disclosure Rule 3.1.4R.
As a result of the above transactions:
David Radcliffe has increased his shareholding in the Company to 1.0001%. He is now beneficially interested in 3,253,807 shares in the Company, equal to 5.36 times his annual basic salary, based on the Company's closing share price on 1 June 2016 (72p). He also continues to be beneficially interested in a further 189,277 options which vested under the CSOP on 27 May 2014.
Michele Maher has retained all the shares resulting from the PSP awards which she exercised after selling sufficient to cover tax and transaction costs, and these represent her initial holding in the Company. She is now beneficially interested in 24,784 shares in the Company representing 0.01% of the Company's issued share capital and equal to 7.8% of her annual basic salary, based on the Company's closing share price on 1 June 2016 (72p).
Kevin Ruffles also retained all the shares resulting from the PSP awards which he exercised after selling sufficient to cover tax and transaction costs, and has increased his holding to 771,711 shares in the Company representing 0.21% of the Company's issued share capital and equal to 1.89 times his annual basic salary, based on the Company's closing share price on 1 June 2016 (72p). He also continues to be beneficially interested in a further 115,201 options which vested under the CSOP on 27 May 2014.
William Brindle continues to be beneficially interested in 416,848 shares in the Company representing 0.13% of the Company's issued share capital and equal to 1.12 times his annual basic salary, based on the Company's closing share price on 1 June 2016 (72p). He also continues to be beneficially interested in a further 81,420 options which vested under the CSOP on 27 May 2014.
