2017 ANNUAL GENERAL MEETING

Hogg Robinson Group plc, the international B2B services company, held its Annual General Meeting today. All of the Resolutions put to the meeting were unanimously approved on a show of hands. The following is a summary of the votes cast at the meeting, including proxy votes received by the Registrars:

1. To adopt the Annual Report

2. To approve the Directors' Remuneration Report

3. To approve the payment of the Final Dividend

4. To elect Ashley Hubka as a Director

5. To re-elect Mark Whiteling as a Director

6. To re-elect Paul Williams as a Director

7. To re-appoint the Auditors

8. To renew the Directors' authority to allot shares

9. To renew the Directors' authority to disapply pre-emption rights up to 5% of the Issued Share Capital

10. To authorise the Directors to disapply pre-emption rights up to a further 5% of the Issued Share Capital

11. To renew the Company's authority to purchase its own shares

12. To renew the authority to call General Meetings on 14 days notice
