NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

HMV GROUP PLC SHARE INCENTIVE PLAN

In accordance with Disclosure and Transparency Rule 3.1.4(R)1 HMV Group plc notifies that on 14th October 2008 it was informed by the Trustees of the HMV Group plc Share Incentive Plan ("SIP") of transactions in HMV ordinary shares made on 14th October 2008 on behalf of three HMV Group plc directors* and those persons discharging managerial responsibility named below. All purchases of Partnership, Matching and Dividend Shares were market purchases.
