Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ('Hill & Smith' or the 'Company') announces that it has today been notified that Mr Derek Muir, a person discharging managerial responsibilities of Hill & Smith:

- sold 2,300 ordinary shares in the Company, held in his own name, at 1178.00 pence per share; and

- sold 27,700 ordinary shares in the Company, held in the name of a PCA, Mrs Dianne Muir, at 1178.00 pence per share Mrs Diane Muir).

These transactions were effected on the London Stock Exchange.

Following the above, Mr Muir is beneficially interested in 246,221 ordinary shares in the Company and holds LTIPs/Options over 220,862 Ordinary Shares in the Company.
