On 8 March 2009 the Board of Directors approved the financial statements for 2008 and authorised the issuance of the shares relating to the Full Share Award in accordance with the terms of the Annual Incentive Plan, as approved in the first Annual General Meeting of 17 May 2007. Under the terms of the Annual Incentive Plan, the number of shares granted to each participant was calculated by reference to the closing market value of the Company's shares on 9 March 2009 of 98.5p, being the date of the announcement of the full year results for 2008.
The participants have all the rights arising from holding existing shares, but during a restricted period of one calendar year, the participants are not allowed to sell, assign, exchange, transfer, pledge, hypothecate or otherwise dispose of or encumber the granted shares.
Immediately following the allotment, the participants have total beneficial interests in the Company's shares as follows:
