Acquisition of FRM
The Directors note the announcement released by Man Group plc ("Man") this morning (http://www.londonstockexchange.com/exchange/news/market-news/market-news-detail.html?announcementId=11209799) in which it was announced that Man has agreed to acquire the entire issued share capital of FRM Holdings Limited. FRM Holdings Limited is the parent company of FRM Investment Management Limited and Financial Risk Management Limited, the investment manager and adviser to the Company respectively. This prospective acquisition, which is expected to complete before the end of Q3 2012, is subject to the satisfaction or waiver of customary conditions to closing including receipt of regulatory approvals. The acquisition involves a scheme of arrangement under Jersey law and will be subject to approval by the shareholders of FRM Holdings Limited in general meeting and by the Jersey Court. It does not affect the management or operation of the Company nor the terms of the Company's investment management agreement.
