Notification of transactions of Directors and PDMRs

On 2 September 2014 existing options ("Options") to acquire ordinary shares of 1 penceeach ("Shares") in Exova Group plc (the "Company") at nil cost were exercised by certain persons discharging managerial responsibilities ("PDMRs") under the Exova Group plc Additional Share Scheme, as set out in column 3 in the table below. As set out in the Company's RNS announcement dated 3 June 2014, the Shares to satisfy the Options are being transferred from the Company's Employee Benefit Trust using Shares provided by Tabasco BV (a company controlled by Clayton, Dubilier & Rice).

In addition, on 2 September 2014 a fully-vested special award under the Company's Long-Term Incentive Plan over 372,727 Shares ("Special Award") granted to Anne Thorburn on 17 April 2014, as described in the Company's Prospectus dated 11 April 2014, was exercised with an aggregate exercise price of £1 as follows:

The Shares received by the PDMRs from exercise of the Options and the Special Award are subject to the same lock-up arrangements as the other Shares held by the PDMRs and may not be sold before 16 April 2015. The PDMRs are satisfying tax liabilities arising on exercise from their own resources. Following exercise, the PDMRs hold the total number of Shares as set out in column 3 below:
