Rule 2.9 Announcement

esure Group plc ("esure") announces for the purposes of Rule 2.9 of the City Code on Takeovers and Mergers that as at the date of this announcement it has in issue 419,671,084 ordinary shares of 1/12p; all of these shares carry voting rights of one vote per share. esure does not hold any shares in treasury.

The ISIN code for the shares is GB00B8KJH563.

The increase in the number of ordinary shares results from the issue of 58,540 ordinary shares in connection with an allotment of shares under esure's 2016 Strategic Leadership Plan.
