Block Listing Admission

Earthport announces that an application has been made to the London Stock Exchange for an additional block listing admission of 40,714,978 ordinary shares of 10 pence each (the "New Ordinary Shares") to be admitted to trading on AIM in connection with the Company's share incentive schemes ("Schemes") as outlined below:

It is proposed that some or all of these New Ordinary Shares will be issued pursuant to the exercise of existing options by persons participating in the Schemes. Once issued, it is expected that the holders of such New Ordinary Shares will accept the offer from Visa International Service Association (which was recently declared wholly unconditional) to acquire the Company's shares.

When issued, the New Ordinary Shares will rank pari passu in all respects with the existing ordinary shares of the Company. Admission of the New Ordinary Shares is expected to take place on 16 May 2019.

The total number of ordinary shares of 10 pence each in the Company as at the date of this announcement remains 653,119,263. There are currently nil shares held in treasury. The total number of voting rights in the Company is therefore 653,119,263. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure Guidance and Transparency Rules.
