Electrica's 2022 Annual Report

Electrica informs the investors that the 2022 Annual Report, prepared in compliance with the requirements of art. 65 of Law no. 24/2017 is available, in Romanian and English, on Electrica's website, at www.electrica.ro, in the "Investors > Results and Reports > Annual Reports" section: https://www.electrica.ro/en/investors/results-and-reports/annual-reports/, as well as in the link attached to the current announcement. It contains, in accordance with the provisions of Law 24/2017 and Regulation 5/2018:

· 2022 Director's Report;

· Explanations Regarding the Differences between Consolidated Financial Statements OMFP 2844/2016 vs IFRS‑EU;

· 2022 Separate Financial Statements, accompanied by the independent auditor's report on the separate financial statements 2022;

· Consolidated financial statements 2022 prepared in accordance with OMFP 2844/2016, accompanied by the independent auditor's report on the consolidated financial statements 2022 prepared in accordance with OMFP 2844/2016;

· Consolidated financial statements 2022 prepared in accordance with IFRS-EU, accompanied by the independent auditor's report on the consolidated financial statements 2022 prepared in accordance with IFRS-EU;

· Statement of the Management;

· The Articles of Association of the Company updated following the decision of the Extraordinary General Meeting of Shareholders of 12 October 2022;

· Current report dated 18 April 2022 (BSE: IRIS Code 15DA5, LSE Code: RNS 4968I) through which the renunciation of the mandate of the Chief Business Development Stefan-Ionut Pascu was communicated;

· Current report dated 5 May 2022 (BSE IRIS Code 83BBD, LSE Code: RNS 5227K) communicating the revocation of the Chief Executive Officer Georgeta Corina Popescu;

· We specify that the information regarding the list of the subsidiaries and controlled entities of Electrica S.A. can be found in the annual report, pages 40-42.
