Edge Performance VCT PLC12 October 2007 EDGE PERFORMANCE VCT PLC Proposed D Share offer Edge Performance VCT plc (the "Company") is pleased to announce that it intendsto seek further funds of up to £25 million (before expenses) for investment inventure capital opportunities within the entertainment industry, focusing onlive music and other live events, by means of a D share offer (the "Offer")priced at £1 per D Share. The offer will be launched on or about 5 November2007. If the Offer is over-subscribed, it may, in the absolute discretion of theDirectors, be increased to £40million. The Offer will comprise an offer for subscription of D Shares in respect of the2007/08 tax year and an offer for subscription of D Shares in respect of the2008/09 tax year. The existing investments and cash attributable to the Ordinary Shares and the CShares will be kept separate from each other and from the proceeds of the issueof D Shares. Investments and cash attributable to the proceeds of the issue ofthe D Shares will also be administered as a separate investment pool. A circular is being posted to the Company's shareholders containing furtherdetails of the proposed D Share issue and seeking authority at an extraordinarygeneral meeting of the Company and class meetings of the Ordinary and CShareholders of the Company, to be held on 5 November 2007, amongst otherthings, to create and issue the D Shares (the "Circular").
