In conformity with the Transparency Directive's transitional provision 6, we would like to notify the market of the following:
As atΒ 31Β NovemberΒ 2008, the issued share capital and voting rights of Danka Business Systems Plc are as follows:
Danka Business SystemsΒ PLC's share capital consists ofΒ 259,148,748Β Ordinary shares with voting rights attached (one vote per ordinary share). There are no shares held in Treasury.
In addition, the company had a total ofΒ 387,325Β participating shares in issue.
Holders of Danka Participating Shares are entitled to as many votes for each Danka Participating Share owned as equals the number of Danka Ordinary Shares into which the Danka Participating Share is convertible.Β
The Danka Participating Shares are convertible into Danka Ordinary Shares at a rate per DankaΒ ParticipatingΒ Share calculated by dividing the liquidation return for the Danka Participating Shares, which is $1,000 per Danka Participating Share plus accumulated and unpaid dividends from the last Danka Participating Share dividend payment date, by a conversion price ofΒ $3.11Β per Danka Participating Share. The Danka Participating Share dividend accumulates on a daily basis;Β therefore, the conversion rate increases fractionally on a daily basis until the next Danka Participating Share dividend is paid. As atΒ 28 NovemberΒ 2008,Β the conversion rate wasΒ 322.705Β Danka Ordinary Shares per Danka Participating Share. The liquidation return is subject to increase in some circumstances if Danka is in default of its payment obligations under theΒ DankaΒ ParticipatingΒ Shares, and the conversion price is subject to increase in some circumstances to protect Danka Participating Shareholders against dilution.Β
Therefore the total number of voting rights in Danka Business SystemsΒ PLCΒ isΒ 384,140,462.
