Danka Business Systems PLC03 May 2007 For immediate release 3 May 2007 Danka Business Systems PLC ("Danka" or the "Company") TOTAL VOTING RIGHTS In conformity with the Transparency Directive's transitional provision 6, wewould like to notify the market of the following: As at 30 April 2007, the issued share capital and voting rights of DankaBusiness Systems PLC are as follows: Danka Business Systems PLC's share capital consists of 259,106,748 Ordinaryshares with voting rights attached (one vote per ordinary share). There are noshares held in Treasury. In addition, the company had a total of 345,996 participating shares in issue. Holders of Danka Participating Shares are entitled to as many votes for eachDanka Participating Share owned as equals the number of Danka Ordinary Sharesinto which the Danka Participating Share is convertible. The Danka Participating Shares are convertible into Danka Ordinary Shares at arate per Danka Participating Share calculated by dividing the liquidation returnfor the Danka Participating Shares, which is $1,000 per Danka ParticipatingShare plus accumulated and unpaid dividends from the last Danka ParticipatingShare dividend payment date, by a conversion price of $3.11 per DankaParticipating Share. The Danka Participating Share dividend accumulates on adaily basis; therefore, the conversion rate increases fractionally on a dailybasis until the next Danka Participating Share dividend is paid. As at 30 April2007, the conversion rate was 325.782 Danka Ordinary Shares per DankaParticipating Share. The liquidation return is subject to increase in somecircumstances if Danka is in default of its payment obligations under the DankaParticipating Shares, and the conversion price is subject to increase in somecircumstances to protect Danka Participating Shareholders against dilution.
