Corporate Update

GCP Student, the only UK REIT focused on modern, purpose-built private student accommodation in and around London, today provides an update on its recommended acquisition as well as announcing its EPRA Net Tangible Assets (NTA) per ordinary share and updating on current portfolio performance for the quarter ended 30 September 2021.

Update on the recommended cash acquisition of the Company by Gemini Jersey JV L.P.

The Acquisition received the necessary shareholder approvals at the shareholder meetings held on 6 September 2021. The Acquisition remains subject to the satisfaction or, where applicable, waiver of the remaining other conditions set out in Part III of the scheme document published by the Company on 11 August 2021 (the "Scheme Document"), including receipt of confirmation from the CMA that the Acquisition, or any matters arising from or relating to the Scheme or the Acquisition will not be referred for a CMA Phase 2 Reference (the "CMA Condition") and the Court sanctioning the Scheme at the Sanction Hearing.

The CMA has been notified of the Acquisition and the Break-Up. As anticipated, the CMA is considering the Break-Up as two separate transactions, and commenced its Phase 1 merger inquiries into these two transactions on 19 October 2021. The current statutory deadline for the CMA's Phase 1 merger decisions in relation to the two transactions is 13 December 2021.

On this basis, the Acquisition is currently expected to become effective before the end of 2021 and, subject to the Acquisition becoming effective, settlement of the cash consideration due under the Scheme is expected to take place within 14 days of the Effective Date.

A further announcement (including an update to the expected timetable of principal events relating to the Scheme) will be made through the Regulatory Information Service of the London Stock Exchange following the satisfaction of the CMA Condition.

Net Asset Value

The Company's EPRA Net Tangible Assets (NTA) per ordinary share at 30 September 2021 is 198.29 pence (30 June 2021: 195.05 pence).

The valuation of the Company's portfolio increased to £1.16bn during the quarter, an increase of 1.5%. The valuation net initial yield on the operational portfolio was 4.29% (30 June 2021: 4.30%).

At 30 September 2021 the portfolio comprised eleven operational assets with c.4,100 beds. Approximately 81% by value of the Group's portfolio is located in and around London.

Bookings update

Bookings for the 2021/22 academic year are currently at 82%, compared with 99% at the same point in 2019, the most recent pre-pandemic year. Of the booked rooms 94% have been occupied by residents or are subject to leases or nominations agreements.

Dividend

In light of the offer to acquire the Company and assuming the Scheme becomes effective, the Directors do not currently expect that any further dividends will be declared or paid to shareholders.
