Long Term Incentive Awards
In accordance with DTR 3.1.2 R and section 793 of the Companies Act 2006, the following Directors of the Company have been granted new awards pursuant to the Carphone Warehouse Group plc 2013 Share Plan, as previously approved by the Company's shareholders, under which they have subscribed for B Ordinary Shares in the Company's subsidiary, New CPW Limited.

The B Ordinary Shares have been acquired for market value, using interest bearing loans made by the Company to each of the participants on commercial terms, which are repayable on vesting or earlier termination of employment. The awards do not vest unless performance conditions have been satisfied in 2017 and 2018.
The B Ordinary Shares do not represent any holding of listed shares in the Company and therefore the above Director's shareholdings in the Company are unchanged.
