Chrysalis VCT PLC05 April 2005 Chrysalis VCT plc 5 April 2005 Offer update/Directorate Merger of Chrysalis VCT plc ("Chrysalis") with Chrysalis A VCT plc ("Chrysalis A"), Chrysalis B VCT plc ("Chrysalis B") and Chrysalis C VCT plc ("Chrysalis C") (together the "Chrysalis Companies") Chrysalis announces that, as at 3pm on 4 April 2005, valid acceptances had beenreceived in respect of the following Chrysalis Companies Shares: 5,721,501 Chrysalis A Shares (representing 87.97 per cent. of Chrysalis A'sissued ordinary share capital) 9,143,677 Chrysalis B Shares (representing 84.45 per cent. of Chrysalis B'sissued ordinary share capital) 8,897,971 Chrysalis C Shares (representing 84.50 per cent. of Chrysalis C'sissued ordinary share capital) The offers remain open until further notice. In line with the intention indicated in the Listing Particulars dated 28 January2005, Chrysalis has pleasure in announcing the appointment to its Board of PeterHarkness with effect from 1 April 2005. Peter is a serial entrepreneur who has significant experience working closelywith institutional investors. He is a non-executive director of Datamonitorplc, a specialist analyst and forecasting business listed on the Official Listof the London Stock Exchange, and of Walker Greenbank Plc, an AIM quoted homefurnishings business. There is no information to be disclosed under 6.F.2 (b)to (g) of the UKLA Listing Rules.
