Notification of Transactions of Directors and Persons Discharging Managerial Responsibility (PDMR)

We write to advise you that the Court sanctioned the Scheme of Arrangement on 3May 2007 for the recommended acquisition of Countrywide plc by Castle Holdco 4Limited. As a consequence, share options granted under the Company's variousshare option schemes/plans become exercisable. The following exercises of shareoptions by Directors and PDMR, who are also option holders of the Company, tookplace on 3 May 2007 following the Court's sanction of the Scheme ofArrangement.
