Charles Taylor plc (the "Company") Director PDMR Shareholding Vesting of share awards The Company announces that on 22 May 2015, Joe Roach, an Executive Director ofthe Company, received nil cost ordinary shares of 1p each in the Company("shares") on the maturity of a third of his deferred annual bonus share awardsfor 2011 and 2012. Following the maturity, he requested that the Trusteesell sufficient shares to cover his tax and NI liabilities and dealing costsand requested that the Trustee sell the remainder on his behalf in respect ofthe 2012 and 2013 awards and transfer the balance on his 2011 award into hisname as detailed below:- PDMR: Number of shares Number of shares Number of shares vesting: sold: retained: Ivan Keane 8,018 6,698 1,320 All shares that were sold were sold at 232.5p per share, apart from 2,982shares for Ivan Keane which were sold at 230p per share.
