Conversion of Loan Notes
Issue of Equity
Castleton Technology plc (AIM: CTP), the software and managed services provider to the public and not-for-profit sectors, announces that it has received a notice of exercise from the vendors of Opus Technology Group Limited (the "Vendors"), the provider of software solutions to the social housing market acquired by Castleton in March 2015, to convert £100,000 of convertible unsecured loan notes ("Loan Notes") into equity.
The Loan Notes are convertible into new ordinary shares of 2 pence each ("Ordinary Shares") in the capital of Castleton at a price of 40 pence per Ordinary Share. Castleton has therefore issued 250,000 new Ordinary Shares ("Loan Note Shares"). The Vendors have undertaken not to sell or otherwise dispose of their interests in the Loan Note Shares at any time during the 12 months following the admission of the Loan Note Shares to trading on AIM.
Application has been made for the Loan Note Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence at 8.00 am on 8 July 2016. The total number of Ordinary Shares in issue following Admission will be 78,339,832.
The above figure of 78,339,832 should be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
