Hong Kong, 29 August 2012 - Cathay International Holdings Limited (LSE: CTI.L), an investment holding company and a leading investor in the growing healthcare sector in the People's Republic of China, today would like to, in conformity with the Financial Service Authority's Disclosure and Transparency Rules, notify the market of the following:

Following the conversion of A Shares into Common Shares, the issued share capital of the Company as at 28 August 2012 consisted of 371,050,934 Common Shares of US$0.05 each (the "Common Shares"). 3,200,000 of the Common Shares are held by a wholly owned subsidiary of the Company as treasury shares (the "Treasury Shares"), and therefore the total number of voting rights in the Company on that date was 367,850,934.

In addition, there are 10,191,840 A Shares of par value US$0.05 each (the "A Shares") in issue. The A Shares are not admitted to trading on a regulated or prescribed market and no application has been made for the A Shares to be admitted to the Official List maintained by the United Kingdom Listing Authority or any other market. The A Shares and the Common Shares rank equally in all respects save that each A Share carries 20 votes and each Common Share carries one vote. The A Shares are convertible into Common Shares on a one-for-one basis.

The number of issued Common Shares less the number of Treasury Shares 367,850,934 may be used by holders of the Common Shares as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Services Authority's Disclosure and Transparency Rules.
