NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Cobham plc (the "Company") announces that, in respect of ordinary 2.5 pence shares of the Company ("Shares"), notification has been received from Mr Simon Nicholls, Chief Financial Officer of the Company, that he has been granted:

1. A share award over 204,151 Shares under the Company's Performance Share Plan 2007 ("PSP"). An award under the PSP ordinarily vests on the third anniversary of the date of grant to the extent that applicable performance conditions are met. 

2. A share award over 86,442 Shares under the Company's Performance Share Plan 2007 ("PSP"). This award is in recognition of the loss of value in vested equity forfeited from his former employer and vests in three tranches with the final vest on 1 May 2016.
