Result of General Meeting
Brainspark, the fast growing international investment company, is pleased to announce that at the General Meeting of the Company held today all of the resolutions proposed were passed.
As a result the Company's ordinary shares of 0.01 pence each will be cancelled from trading on AIM with effect from 4:30pm today and the newly consolidated ordinary shares of 2.5 pence each will be admitted to AIM with effect from 8.00am tomorrow ("Admission"). The new ISIN number will be GB00B50P5B53 and the SEDOL will be B50P5B53.
It is intended that share certificates in respect of the New Ordinary Shares will be posted to shareholders by no later than 22 June 2010 at the same time as the despatch of any fractional cheques or crediting of CREST members' accounts in respect of fractional sale proceeds. The New Ordinary Shares due to uncertificated shareholders will be credited to the relevant accounts on or around 15 June 2010.
In addition, following the shareholder approval received today at the General Meeting, the Company has adopted a broadened investing policy which now includes: (i) investments in the renewable energy sector as whole; and (ii) investments in theme parks to be made on a worldwide basis, theme parks being a sub-sector within the entertainment sector of the Company's investing strategy.
Full details of the Company's amended investing policy was contained in the announcement released by the Company on 20 May 2010 and will be available shortly on the Company's website (www.brainspark.com) in accordance with rule 26 of the AIM Rules for Companies.
