Director's shareholding

Further to the announcement on 29 December 2009 by the Company that Prof. Francesco Gardin, Chairman of Brainspark, had sold 46,000,000 ordinary shares in the Company, the Board of Brainspark would like to announce that the 46,000,000 ordinary shares were acquired by clients of RCF Customers, a portfolio management company of which Alfredo Villa, Non-Executive Director of Brainspark, is a discretionary fund manager.

Following the purchase, RCF Customers will have a beneficial interest in 86,150,000 ordinary shares in the Company representing 17.68 per cent. of the total issued share capital of the Company.

Alfredo Villa therefore has a total beneficial and non beneficial interest in 168,818,670 ordinary shares in the Company, equivalent to 34.66 per cent. of the total issued share capital of Brainspark.
