Total voting rights

In conformity with the FSA's Disclosure and Transparency Rules, Cello Group plc ("Cello" or the "Company") confirms the following:

As at the close of business on 31 March 2011 Cello's issued share capital consisted of 72,782,036 Ordinary Shares. The Company holds 237,000 Ordinary Shares in treasury. Therefore, the Company has 72,545,036 Ordinary Shares with voting rights.

The above figure (72,545,036 Ordinary Shares) may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FSA's Disclosure and Transparency Rules.
