Issue of equity
Further to the announcements made by Chime Communications PLC ("Chime" or the "Company") on 30 October 2009 and 9 November 2009, the Company confirms that it has now received valid acceptances in respect of the Offer for a total of 215,275,885 Essentially Shares representing approximately 95.39 per cent. of the entire issued share capital of Essentially.
As a result of these additional valid acceptances, the Company has applied for a further 264,754 Chime ordinary shares of 25 pence each to be admitted to listing on the Official List of the UKLA and to trading on the London Stock Exchange at 8:00am on 17 November 2009.
Voting rights and capital
The Company confirms that following admission of the new 264,754 Chime ordinary shares at 8:00am on 17 November 2009, the Company's issued share capital will consist of 66,887,603 ordinary shares each with voting rights. No ordinary shares are held in treasury.
The figure of 66,887,603 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Chime Communications PLC under the FSA's Disclosure and Transparency Rules.
